Terms of Service

1. Who we are

These Terms of Service ("Terms") are between you and StudySpot ("StudySpot", "we", "us"), the seller and operator of the StudySpot website, apps and browser extension (together, the "Service"). By creating an account or continuing to use the Service, you agree to these Terms.

2. The Service

StudySpot is an AI-assisted study tool that turns your materials (notes, PDFs, slides, images, lecture recordings and videos) into summaries, flashcards, practice questions, study plans and progress insights. We grant you a limited, non-exclusive, non-transferable right to use the Service within the limits of the plan you select.

3. Your account

  • You must be at least 13 years old (or the minimum age of digital consent in your country) and, if you use the Service for an organization, you must have authority to bind it.
  • You must provide accurate information when signing up, keep it updated, and keep your login credentials confidential.
  • You are responsible for all activity under your account.

4. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms, in addition to the following plan terms:

  • StudySpot offers a Free plan and paid plans (Plus, Pro and Exam Pass). Prices are shown on the pricing page and charged in the currency displayed at checkout.
  • Paid subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time from the Plan & billing page; your plan stays active until the end of the current period.
  • Switching plans takes effect immediately and the change is prorated.
  • The Exam Pass is a one-time purchase that unlocks paid features for 7 days and does not renew.
  • Unused AI actions roll over to the next month, up to a maximum of 2× your monthly allowance.

5. Acceptable use

You must not misuse the Service. In particular, you must not:

  • Use the Service for anything unlawful, fraudulent or deceptive, or to send spam.
  • Upload content that infringes intellectual-property rights, or that you have no right to use.
  • Use AI features to create illegal content, deepfakes, hate speech, malware, or to attempt to bypass the AI's safety controls.
  • Interfere with the Service's security or operation — no malware, probing, scraping, reverse engineering, or circumventing plan limits.
  • Resell, redistribute or share your account or AI outputs as a competing service.
  • Use the Service to cheat in violation of your school or exam board's rules.

We may remove or restrict content, refuse or filter AI outputs, and suspend accounts that break these rules.

6. AI-generated content

  • AI outputs (summaries, questions, answers, plans) may be inaccurate or incomplete. They are a study aid, not professional advice, and not a guarantee of any exam result. You are responsible for verifying important information and for how you use the outputs.
  • You are responsible for your prompts and uploaded content, and for having the rights to anything you upload.
  • You keep ownership of your uploads. You grant us a limited license to host and process them solely to provide the Service to you. Subject to your plan, you may use the AI outputs generated for you for your own study purposes.
  • Rights holders can report infringing content through the contact options on the website; we may remove it and suspend repeat infringers.

7. Intellectual property

We own the Service and all related intellectual property — the software, design, documentation and StudySpot branding. These Terms give you no rights to them except the limited right to use the Service described above.

8. Service level

The Service is provided "as is" and "as available". We do not guarantee it will be uninterrupted, timely, secure or error-free, and we disclaim all implied warranties (including merchantability and fitness for a particular purpose) to the fullest extent permitted by law.

9. Liability

To the maximum extent permitted by law, we are not liable for indirect, consequential or special damages — including lost profits, lost data, lost goodwill or lost exam results. Our total aggregate liability is limited to the amount you paid us in the 12 months before the claim. Nothing in these Terms limits liability for fraud, death or personal injury where the law does not allow it.

10. Indemnity

You agree to indemnify us against claims arising from content you upload, your unlawful use of the Service, or your breach of these Terms.

11. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay, create a security or fraud risk, or repeatedly or seriously violate our policies. You can stop using the Service and delete your account at any time. When your account ends, your data is deleted or anonymized as described in our Privacy Policy.

12. General

  • We may update these Terms from time to time and will post the new version here; continued use means you accept the updated Terms.
  • You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition.
  • We are not responsible for delays or failures caused by events beyond our reasonable control.
